Terms of Use

Last updated October 11, 2026
Effective date: [Insert publication date after final approval]

These Terms of Use (“Terms”) govern access to Garagent’s website at https://www.getgaragent.com and application at https://app.getgaragent.com, together referred to as the “Service.”

The Service is operated by ZAD Creation LLC (“we,” “us,” or “our”). Your agreement is with ZAD Creation LLC. No founder, member, manager, employee, or contractor personally guarantees the Service or assumes the company’s contractual obligations solely by working for or representing it. This does not exclude any personal liability imposed by applicable law. “You” means the individual using the Service or, where applicable, the organization that individual is authorized to represent.

When these Terms become effective, you must accept them before using the application. If you do not agree, do not create an account or use the application. Acceptance occurs when you select the acceptance checkbox or take another action expressly identified as agreement to these Terms. The Acceptable Use Policy is incorporated into these Terms. The Privacy Policy describes our handling of personal information; accepting these Terms does not substitute for any separate privacy consent required by law.

1. Eligibility and accounts

You must be at least 18 years old to use the application. If you use it for an organization, you represent that you have authority to accept these Terms on its behalf.

You must provide accurate account information and keep your login credentials secure. Do not share your account or allow another person to use your invitation.

You are responsible for your use of the account and the instructions, permissions, and integrations you configure. Notify us promptly at hello@getgaragent.com if you suspect unauthorized access.

2. Invite-only beta

Garagent is currently available to invited testers. Requesting access does not guarantee an invitation. Invitations and access permissions are personal and may not be transferred without our permission.

The beta is intended for evaluation and feedback. It may contain errors, experience interruptions, or change substantially. Features, models, tools, and usage limits may be added, changed, or removed. We do not promise that the beta will become a generally available product or that a particular feature will remain available.

We may pause or end the beta or your beta access. Where reasonably practicable, we will give advance notice of significant changes or discontinuation.

Do not use the beta as your only copy of important information or for critical operations that require uninterrupted availability. Keep independent copies of files and results you need.

3. Permission to use the Service

Subject to these Terms and your invitation, we grant you a limited, non-exclusive, non-transferable permission to access and use the Service for your own personal or internal business purposes.

Garagent’s software, interface, branding, documentation, and other materials remain the property of ZAD Creation LLC or their respective licensors. These Terms do not transfer ownership of those materials to you.

You must comply with our Acceptable Use Policy. You must not access other users’ accounts or data, bypass access controls or usage limits, disrupt the Service, distribute malicious software, or resell access without our written permission.

You must not copy, distribute, sublicense, or commercially exploit the Service or its proprietary materials except as expressly authorized, or reverse engineer its software except where applicable law permits this despite contractual restrictions. These restrictions do not prevent lawful use of your own Input or Output. Restrictions apply only to the extent permitted by applicable law.

4. AI agents and automated actions

Garagent allows you to configure AI agents, assign work, enable tools, and connect external services.

AI-generated output can be inaccurate, incomplete, misleading, or unsuitable for your intended purpose. Review output before relying on it, publishing it, or using it to make decisions. The Service does not replace qualified medical, legal, financial, or other professional advice.

Enabled tools and integrations may read or modify information, generate files, send communications, or perform other actions according to their capabilities and your configuration. Scheduled work may run while you are not actively using the application.

You must have authority to connect each account or resource and authorize the relevant actions. Review permissions carefully and use appropriate human oversight for consequential actions. Do not assume an approval step exists unless the relevant feature expressly provides one.

By enabling a tool, integration, or schedule, you authorize the Service to process your instructions and attempt actions within the permissions you grant. AI agents can misunderstand instructions or produce unintended actions. You are responsible for selecting suitable tasks, verifying intended recipients and destinations, and reviewing results. Actions can be difficult or impossible to reverse. Garagent does not guarantee that an action can be canceled, recalled, or undone.

Do not use the beta to control safety-critical systems or to make decisions affecting a person’s legal rights, access to essential services, employment, credit, or healthcare without appropriate independent review and any safeguards required by law.

You can withdraw future authorization by disabling the relevant feature or disconnecting the integration using available controls. Work already submitted to an external provider may continue, and disconnecting an integration does not reverse completed actions. Where necessary, revoke access directly with the external provider. You remain responsible for charges properly incurred through external accounts you connect, subject to your agreements with those providers and applicable law. Nothing in this section excuses our own breach of these Terms or overrides Section 11’s exceptions.

5. Your content and AI output

You retain your existing rights in the prompts, files, instructions, and other content you submit (“Input”).

As between you and us, and to the extent permitted by applicable law and relevant third-party terms, you own the output generated for you (“Output”). We assign to you any rights we hold in that Output that we are legally able to assign.

AI output may not be unique, may resemble output provided to others, and may contain material subject to third-party rights. We do not guarantee that Output qualifies for copyright protection or is free of infringement.

You must have the rights, permissions, and lawful basis needed to submit Input and use Output.

You grant us a limited, non-exclusive license to host, process, transmit, and display your Input and Output as necessary to operate, maintain, secure, and support the Service and comply with legal obligations. This includes processing by service providers needed to perform your requests.

Do not submit passwords, private keys, or access tokens in prompts or files. Use designated integration controls where available. Do not submit protected health information, complete payment card details, government identification numbers, or other data requiring special contractual or regulatory safeguards unless we have expressly agreed in writing to support that use and the necessary safeguards are in place.

We may remove or restrict content where reasonably necessary to enforce these Terms, protect the Service, respond to rights complaints, or comply with law. We do not undertake to review every Input, Output, or agent action.

Our handling of personal information is described in the Privacy Policy. The content license above does not independently authorize training general-purpose AI models on your private Input or Output; any such use must have an appropriate legal basis and be disclosed in the applicable privacy notices, with consent where required.

6. Third-party services

The Service uses or connects to third-party AI providers, hosting services, tools, and integrations. Relevant information may be transmitted to those providers to perform your requests, as described in our Privacy Policy.

Your use of connected services may also be subject to their terms and policies. You are responsible for permissions and charges associated with accounts you connect.

Third-party services may change or become unavailable. We do not control their availability or output. This section does not exclude responsibilities we have under applicable law for our own operation of the Service.

7. Beta credits and usage limits

Your beta invitation or account will identify your available credit allowance, any expiration date, and applicable usage limits.

Model requests consume credits according to the usage calculation communicated through the Service. Consumption may vary by model, input size, output size, and the work performed.

We may reject, pause, or stop work when credits or other usage limits are reached. Credits and usage displays may update after processing, and parallel requests or work already in progress may finish after a displayed balance reaches zero. A credit allowance is not a guarantee that a task will finish. Processing already performed may consume credits even if a task fails or its Output is unsatisfactory. These free beta Terms do not authorize us to charge you for an overage. Additional credits may be provided at our discretion; continued access or replenishment is not guaranteed.

Promotional beta credits are not money, cannot be transferred or redeemed for cash, and do not create a right to future access.

Public paid subscriptions and checkout are not currently offered. We will present applicable pricing and payment terms before introducing paid access. Accepting these beta Terms does not authorize future subscription charges.

8. Feedback

You may provide suggestions, bug reports, or other feedback voluntarily. You grant us a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and incorporate feedback into the Service and related products without compensating you or attributing it to you, subject to applicable law. You must have authority to grant this license.

This permission does not give us unrestricted rights to your private Input or Output. Do not include secrets or unnecessary personal information in feedback.

9. Suspension and termination

You may stop using the Service at any time and request account closure by contacting hello@getgaragent.com.

We may restrict, suspend, or terminate access for violations of these Terms, suspected abuse, security risks, legal requirements, or discontinuation of the beta. We will provide notice where reasonably practicable, but may act immediately where necessary to address risk or comply with law.

Account closure may end your access to stored content. Save important files and results before requesting closure. You may contact us about retrieving remaining content, but no fixed post-termination export period is promised under these beta Terms.

Deletion, retention, backup handling, and any applicable privacy rights are described in our Privacy Policy. Nothing in these Terms limits rights you have under applicable data protection law.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE BETA SERVICE, INCLUDING ITS OUTPUT, TOOLS, AND AUTOMATED FUNCTIONS, IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT FOR WARRANTIES OR OBLIGATIONS THAT CANNOT LAWFULLY BE EXCLUDED.

We do not guarantee uninterrupted operation, error-free results, or that the Service will meet your requirements.

Nothing in these Terms excludes a warranty or other right that applicable law does not permit us to exclude.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAD CREATION LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF GOODWILL ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMBINED AGGREGATE LIABILITY OF ZAD CREATION LLC AND THE PERSONS IDENTIFIED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE FREE BETA SERVICE OR THESE TERMS WILL NOT EXCEED US $100.

These exclusions and the cap apply regardless of the legal theory asserted, including contract or negligence, even if the possibility of the loss was foreseeable or disclosed. They apply to claims involving AI Output, automated actions, integrations, interruptions, or loss or corruption of data only to the extent legally permitted. The cap is a combined total, not a separate amount for each claim or person.

These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability to the extent it cannot lawfully be limited or excluded. Nothing in these Terms removes mandatory consumer or data protection rights.

Drafting note — remove before publication: The $100 amount is a proposed contractual allocation of risk for a free beta, not a statutory safe harbor. Counsel must assess the amount, exclusions, and enforceability for the users and jurisdictions served. Paid access needs a separately reviewed liability and payment arrangement.

11A. Third-party claims caused by your misuse

To the extent permitted by applicable law, you agree to indemnify ZAD Creation LLC and its members, managers, officers, employees, and contractors against third-party claims and resulting damages, liabilities, and reasonable legal expenses to the extent caused by your unlawful use of the Service, your material violation of these Terms or the Acceptable Use Policy, or Input you submit that infringes another person’s intellectual property or privacy rights. This obligation does not apply to the extent a claim results from our breach of these Terms, negligence, or other wrongful conduct, or from use of the Service in compliance with these Terms without an attributable violation by you.

We will promptly notify you of the claim, reasonably cooperate at your expense, and take reasonable steps to mitigate losses. Delay in notification reduces your obligation only to the extent it materially prejudices your defense. You may control the defense using reasonably qualified counsel, but may not settle a claim in a way that admits fault by, imposes an obligation on, or fails to release an indemnified party without that party’s written consent, which will not be unreasonably withheld. An indemnified party may participate with its own counsel at its own expense. Mandatory consumer protections take precedence over this provision.

12. Changes to the Service and these Terms

We may update the Service and these Terms as the beta develops.

When we make a material change to these Terms, we will communicate the revised Terms and their effective date through the Service or the email associated with your account. Where appropriate or legally required, we will request renewed acceptance.

Changes will apply prospectively and will not retroactively alter the terms governing an existing dispute. If you do not accept updated Terms, you must stop using the application.

13. Governing law and disputes

[Proposed clause — confirm ZAD Creation LLC’s principal business location and obtain jurisdiction review before publication.]

These Terms are governed by the laws of South Carolina, United States, without applying its conflict-of-laws rules, except where applicable mandatory law requires otherwise. Subject to mandatory consumer rights, disputes arising out of or relating to these Terms or the Service must be brought in the state courts located in Charleston County, South Carolina, or, where federal subject-matter jurisdiction exists, the United States District Court for the District of South Carolina, Charleston Division. Each party consents to those courts’ personal jurisdiction and venue.

If mandatory law permits you to bring a claim in the courts where you live, this clause does not remove that right.

Applicable mandatory consumer protections remain in effect regardless of the governing law selected.

Before beginning formal proceedings, you may contact hello@getgaragent.com so we can try to resolve the issue. This does not restrict your right to seek urgent relief, contact regulators, or exercise other rights under applicable law.

14. General provisions

These Terms and the Acceptable Use Policy form the entire agreement concerning your use of the Service and supersede earlier agreements about the same subject, unless we enter into a separate written agreement with you. A separate agreement signed by us controls to the extent of a conflict. Otherwise these Terms control over conflicting provisions of the Acceptable Use Policy. Nothing in this clause excludes liability for fraud or overrides mandatory rights.

Neither party is responsible for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, government action, or widespread telecommunications outages, provided it takes reasonable steps to mitigate the impact. This does not excuse obligations imposed by applicable law or failures that could reasonably have been prevented.

We may send operational and legal notices to your registered email address or through the Service where permitted by law. Keep your contact information current. Marketing permissions are handled separately under applicable law.

The persons expressly protected by Sections 11 and 11A may enforce those protections to the extent permitted by law. Otherwise these Terms create no third-party beneficiary rights. No agency, partnership, joint venture, or employment relationship is created between you and us. The label “AI agent” describes a software feature and does not itself create a legal agency relationship.

If a provision is unenforceable, the remaining provisions will continue to apply. Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not transfer your account or rights under these Terms without our written consent. We may transfer this agreement in connection with a merger, reorganization, or sale of the relevant business, provided the successor assumes our obligations and applicable legal requirements are met.

Provisions concerning ownership, permitted content processing and retention, disclaimers, liability, third-party claims, and disputes survive termination to the extent needed to give them effect.
